1. Agreement to Terms

By downloading, installing, or using Clarity Code ("the App," "the Software," or "our App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legal agreement between you ("you" or "User") and Sonoma Enterprises ("we," "us," or "our"), the developer of Clarity Code.

2. License Grant

2.1 Free Version License

We grant you a non-exclusive, non-transferable, revocable license to use the free version of Clarity Code on any Mac you own or control for personal or commercial use, subject to these Terms.

Upon purchasing the Premium upgrade through Apple's in-app purchase system, we grant you a non-exclusive, non-transferable, perpetual license to use all Premium features of Clarity Code on any Mac associated with your Apple ID.

2.3 Family Sharing

Premium purchases support Apple's Family Sharing. Up to 6 family members can share the Premium features using a single purchase, subject to Apple's Family Sharing terms.

3. Restrictions

You agree NOT to:

  1. Reverse Engineer: Decompile, disassemble, reverse engineer, or attempt to derive the source code of the App
  2. Modify: Modify, adapt, or create derivative works of the App
  3. Redistribute: Sell, rent, lease, sublicense, distribute, or transfer the App to third parties
  4. Remove Notices: Remove, obscure, or alter any copyright notices, trademarks, or other proprietary rights notices
  5. Abuse: Use the App for any illegal, harmful, or abusive purposes
  6. Circumvent: Attempt to bypass, disable, or circumvent any licensing mechanisms, security features, or usage restrictions
  7. Automate Abuse: Use bots, scripts, or automated means to abuse the App or App Store systems

4. Intellectual Property

4.1 App Ownership

Clarity Code, including all code, design, graphics, documentation, and related materials, is owned by Sonoma Enterprises and protected by copyright, trademark, and other intellectual property laws.

4.2 Your Content Ownership

You retain all rights to your files and code. We do not claim any ownership over files you create, edit, or store using Clarity Code. Your work is yours.

4.3 Trademarks

"Clarity Code" and associated logos are trademarks of Sonoma Enterprises. You may not use our trademarks without prior written permission.

5. In-App Purchases

5.1 Purchase Terms

Premium features are available as a one-time, non-consumable in-app purchase through Apple's App Store.

5.2 Payment Processing

All purchases are processed by Apple. We do not handle or store your payment information. Your purchase is subject to Apple's Media Services Terms and Conditions.

5.3 Refunds

Refund requests must be made through Apple within the applicable refund period. We do not process refunds directly. To request a refund:

  1. Go to reportaproblem.apple.com
  2. Sign in with your Apple ID
  3. Find your Clarity Code purchase
  4. Select "Report a Problem" and follow the instructions

5.4 Price Changes

We reserve the right to change the price of Premium features at any time. Price changes do not affect users who have already purchased Premium.

5.5 No Subscription

Premium is a one-time purchase, not a subscription. You pay once and own it forever. We will never convert this to a subscription model for existing Premium users.

6. Privacy

Your privacy is important to us. Clarity Code collects zero data about you or your usage.

7.1 Software Updates

We may release updates, bug fixes, and new features for Clarity Code. Updates are distributed through the Mac App Store.

7.2 No Guaranteed Updates

While we intend to provide ongoing updates, we do not guarantee any specific updates, features, or timeline. Updates are provided at our sole discretion.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:

8.1 No Guarantee of Accuracy

While we strive for accuracy in syntax highlighting and language detection, we do not guarantee that these features will be 100% accurate or error-free.

8.2 File Safety

While Clarity Code includes standard save/autosave functionality, YOU are responsible for backing up your files. We are not responsible for any loss of data, files, or work product.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE.

This includes but is not limited to damages arising from:

9.1 Maximum Liability

Our total liability to you for all claims arising from or relating to the App shall not exceed the amount you paid us for the App (i.e., the Premium purchase price, if applicable).

If you use only the free version, our maximum liability is $0.

9.2 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, the above limitations may not apply to you, and you may have additional rights.

10. Termination

10.1 Termination by You

You may stop using Clarity Code at any time by deleting the App from your Mac. Your Premium license remains valid even if you delete the App, and you can re-download it from the App Store.

10.2 Termination by Us

We may suspend or terminate your access to the App if you violate these Terms. We will make reasonable efforts to notify you before termination.

11. Governing Law and Disputes

11.1 Governing Law

These Terms are governed by the laws of the State of Virginia, United States, without regard to conflict of law principles.

11.2 Jurisdiction

You agree that any disputes arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the state and federal courts located in Virginia.

11.3 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@sonomaenterprises.com. We'll try to resolve disputes in good faith.

11.4 Arbitration (Optional)

If informal resolution fails, either party may elect binding arbitration instead of court proceedings, subject to applicable law.

11.5 Class Action Waiver

To the extent permitted by law, you agree to bring claims only in your individual capacity and not as part of any class or representative action.

12. Changes to Terms

12.1 Modifications

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date.

12.2 Notice of Changes

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full effect.

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

13.4 Assignment

You may not assign or transfer these Terms or your rights under them. We may assign these Terms to any successor or affiliate.

13.5 Export Compliance

You agree to comply with all applicable export and import laws when using Clarity Code.

13.6 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control.

13.7 No Partnership

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and us.
